Reference is made to the stock exchange announcements made by Aqua Bio
Technology ASA ("ABTEC" or the "Company") on 3 August 2023 regarding, among
other things, the share purchase agreement ABTEC entered with the shareholders
of Skinteam Norge AS ("Skinteam") with respect to ABTEC acquiring all of the
shares in Skinteam (the "SPA") (the "Acquisition").
The closing conditions according to the SPA have now been satisfied, and ABTEC
has been registered as owner of all of the shares in Skinteam.
Reference is further made to the stock exchange announcement made by ABTEC on 8
August 2023 regarding the commencement of a subsequent offering of up to
1,666,667 new shares ("Offer Shares") in the Company to certain eligible
shareholders (the "Subsequent Offering").
The subscription period in the Subsequent Offering will conclude on 18 August
2023 at 16:30 hours (CEST). Subscription rights that are not used to subscribe
for Offer Shares before this deadline will have no value and will expire without
any compensation to the holder.
